Terms of Service
Effective January 1, 2026
These Terms of Service ("Terms") govern your use of kodatech.org (the "Site"), operated by KODA ADVANCED TECHNOLOGIES ("KODA", "we", "us"). By accessing the Site you agree to these Terms. If you do not agree, please do not use the Site.
Engagements are governed separately. Paid work is performed under a Master Services Agreement, Statement of Work and Data Processing Agreement executed between KODA and the client. Where those documents conflict with these Terms, those documents control.
1. Use of the Site
We grant you a limited, revocable, non-exclusive licence to access the Site for your own informational and business-evaluation purposes. You agree not to:
- interfere with, probe or disrupt the Site, its infrastructure or its security controls;
- scrape or systematically extract content for the purpose of building a competing service or training a commercial model without our written permission;
- misrepresent your affiliation with KODA, or use our name, logo or marks in a way that implies endorsement or partnership that does not exist;
- use the Site in violation of applicable law or third-party rights.
2. Intellectual property
The Site's content — text, design, code, graphics, the KODA name and logo, and the case-study and article material — is owned by KODA or its licensors and protected by copyright, trademark and other laws.
You may quote short excerpts from our articles with attribution and a link to the source. You may not republish articles in full, present our content as your own, or reproduce the KODA marks as part of your own branding.
3. Ownership of engagement deliverables
This is the term clients most often want confirmed, so we state it plainly here as well as in the MSA: on full payment, the client owns the deliverables. That includes source code, fine-tuned model weights, prompt programs, evaluation datasets, infrastructure-as-code and documentation produced specifically for that engagement, assigned to the client for use without restriction, runtime fee or ongoing dependency on KODA.
Two carve-outs, which are ordinary and disclosed before work begins:
- Pre-existing materials and general know-how. KODA retains ownership of its pre-existing tools, internal frameworks, methods and general engineering knowledge, and grants the client a perpetual, royalty-free licence to use any of it that is embedded in the deliverables.
- Third-party components. Open-source and commercially licensed components remain subject to their own licences, which we identify in the delivered documentation.
4. Confidentiality
Information shared with us during scoping is treated as confidential whether or not an NDA is in place, and we will sign your NDA before a first call on request. We do not disclose client identities, data or engagement details without written permission — which is why the case studies on this Site use placeholder company names.
5. Your submissions
When you submit information through the contact form or in correspondence, you confirm that you are authorised to share it and that doing so does not breach a confidentiality obligation you owe to someone else. Please do not send sensitive personal data, regulated data or trade secrets through the web form; we will arrange a secure channel.
6. No professional advice or guaranteed outcome
Site content — including case studies, articles, metrics and the engagement model — is provided for general information. It is not legal, financial, medical, safety or regulatory advice, and it is not a guarantee of results.
Metrics in case studies describe outcomes measured in a specific client environment against that client's own baseline. Your results will differ. Statements about timelines, including the six-week first-deployable model, describe our standard approach under the conditions documented on the engagement page and are not a warranty absent a signed Statement of Work.
7. AI systems: inherent limitations
AI systems are probabilistic. Even well-engineered systems produce incorrect outputs some portion of the time, and performance can degrade as real-world data shifts away from the distribution a model was trained and validated on.
We design for this directly — calibrated abstention, enforced citations, human-in-the-loop approval on consequential actions, drift monitoring and tested rollback paths. Clients remain responsible for the human oversight, acceptance criteria and compliance review appropriate to their use case, particularly in regulated, safety-critical or high-consequence settings.
8. Third-party links and services
The Site links to third-party sites and services we do not control, including scheduling and social platforms. We are not responsible for their content, availability or practices, and your use of them is governed by their terms.
9. Disclaimer of warranties
The Site is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components. Warranties applicable to engagement deliverables are set out in the MSA.
10. Limitation of liability
To the maximum extent permitted by law, KODA will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Site. Our total aggregate liability relating to the Site is limited to one hundred US dollars (US$100). Liability relating to an engagement is governed by the limitation of liability in the applicable MSA.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud or wilful misconduct.
11. Indemnification
You agree to indemnify and hold harmless KODA and its personnel from claims, damages and reasonable expenses arising out of your breach of these Terms or your unlawful or unauthorised use of the Site.
12. Changes
We may update these Terms and will revise the effective date above when we do. Continued use of the Site after a change constitutes acceptance. Material changes affecting active clients are communicated directly.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-laws rules. Disputes relating to the Site are subject to the exclusive jurisdiction of the state and federal courts located in Delaware. Dispute resolution for engagements is governed by the applicable MSA. Before filing anything, please email us — most issues are resolved in a conversation.
14. Miscellaneous
If a provision of these Terms is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent. These Terms, together with our Privacy Policy, are the entire agreement regarding your use of the Site.
